1. Parties

This agreement is between ResourceNexus Inc. ("ResourceNexus," "we," "us") and any licensed mental health professional who opts into the Contributor Program ("Contributor," "you"). Participation is voluntary and does not create an employment, partnership, or agency relationship.

2. Eligibility

• You hold a valid license to practice as a mental health or healthcare professional.
• Your NPI number has been verified through the ResourceNexus NPI verification process.
• You hold an active Solo Pro or Clinician Plus subscription.
• You have opted in to the Contributor Program via your account settings.

3. The 10% Gross Income Pool

ResourceNexus commits to setting aside 10% of monthly gross subscription revenue (the "Clinical Quality Pool") for distribution to qualifying Contributors each calendar month. This commitment is reflected in our platform pricing and reviewed annually.

Monthly Points reset on the 1st of each month. 10% of your Monthly Points balance is migrated into your Lifetime Points total before the reset.

4. Intellectual Property

You retain ownership of your original written contributions (e.g., peer review notes, resource descriptions you author). By submitting content to ResourceNexus, you grant us a non-exclusive, royalty-free, worldwide license to display, index, and distribute that content as part of the ResourceNexus platform.

You confirm that any resource you submit or review does not infringe on third-party copyrights, and that your review reflects your independent clinical judgment.

5. Clinical Standards & Attestation

When you complete a peer review, you attest that:

"The information in this resource is clinically accurate and appropriate for the audience it serves."

This is a review of accuracy and clinical appropriateness — not a personal endorsement or recommendation that the resource be used in any specific clinical context. You may not submit reviews for resources in which you have a financial conflict of interest.

6. Payout Limits & Tax Reporting

Cash payouts are capped at $2,000 per calendar year per Contributor to comply with fair-market regulations. Earnings above this threshold are automatically converted to ResourceNexus Subscription Credits applied to your next billing cycle.

You are responsible for reporting any payout income in accordance with your local tax laws. ResourceNexus will provide a payment summary upon request. We do not withhold taxes on your behalf unless required by law.

7. Termination & Opt-Out

You may opt out of the Contributor Program at any time from your account settings — no questions asked. Your XP and Lifetime Points history is preserved. Opting out means you will not receive payout shares for the month in which you opted out or future months.

ResourceNexus reserves the right to remove a Contributor from the program for violations of clinical standards, submission of misleading or inaccurate reviews, or breach of this agreement.

8. Amendments

ResourceNexus may update this agreement with 30 days' notice via email and an in-app notification. Continued participation after the effective date constitutes acceptance of the updated terms. Major changes to the pool percentage (Section 3) require 60 days' notice.
